A. Overview

This Agreement outlines the terms and conditions (the “Terms”) that apply to your involvement in Coldest LLC’s (the “Company”, "we", "us" or “our”) Ambassador Program (the “Program”).
By participating in the Program, you agree to these Terms clearly and voluntarily.

FAILURE TO FOLLOW THESE TERMS WILL LEAD TO THE IMMEDIATE TERMINATION OF YOUR AMBASSADOR ACCOUNT AND ANY ASSOCIATED BENEFITS, INCLUDING THE LOSS OF ANY OUTSTANDING COMMISSIONS EARNED THROUGH THE PROGRAM.

Coldest also retains the right to take legal or equitable action if any part of these Terms is violated.

Coldest reserves the right to update or change these Terms at any time, with or without prior notice.
By continuing to take part in the Program after such changes, you acknowledge and accept the updated Terms.

B. Your Ambassador Link and Commission

Coldest retains full and exclusive authority to approve, accept, or deny any application to join or participate in the Ambassador Program.
All decisions regarding application approvals are made at Coldest’s sole discretion.

EACH INDIVIDUAL IS ALLOWED TO APPLY FOR AND USE ONLY ONE AMBASSADOR LINK.

Submitting multiple applications or attempting to use more than one Ambassador Link per person will result in immediate removal from the Program and forfeiture of any unpaid commissions earned through the Coldest Ambassador Program.

If you would like Coldest to deactivate an Ambassador Link that was previously approved for any reason (including your desire to reapply for a new link), you may email us at: 📩ambassador@coldast.com. Once your application to the Coldest Ambassador Program is accepted, you will receive a unique Ambassador Link. You may use this link—in accordance with these Terms—to earn 10% commission on the Gross Revenue received by Coldest from purchases made through your link (or sales directly attributed to it).

“Gross Revenue,” as used here, refers to the total amount actually paid by the customer for Coldest merchandise, excluding shipping fees, sales tax, or any additional charges incurred at checkout.

Commission payments will be made in line with Coldest’s current payment policies and timelines. Coldest reserves the right to adjust these payment practices at any time, but will make reasonable efforts to notify Ambassadors of any such changes in advance.

By participating in the Program, you acknowledge and agree that the stated Commission is sufficient compensation for your involvement. You will not be entitled to any other form of payment, either monetary or equity-based, beyond what is outlined here.

C. Permitted Uses of Your Ambassador Link

Coldest provides ongoing updates and guidance related to the proper use of your Ambassador Link and your involvement in the Program through online platforms designated by our team (such as Discord, Notion, or others).
You will receive access to these platforms through an official invitation from a Coldest representative.

You are required to join and stay connected to these platforms once notified that they are being used for the Program.
It is your responsibility to regularly check for updates, instructions, or communications shared on these platforms. Whether or not you actively access or participate, you will still be held accountable for staying informed and following any guidance provided there.

Coldest reserves the right to change its policies or rules related to the use of Ambassador Links at any time, at its sole discretion, with or without prior notice.

D. Prohibited Uses of Your Ambassador Link

Coldest also provides regular updates and guidelines regarding actions that are not allowed in connection with your Ambassador Link.
This information is typically shared through online platforms to which you’ve been invited by a Coldest representative (such as Discord, Notion, etc.).

As previously noted, you are expected to join and actively monitor these platforms upon being notified of their use. You are responsible for staying up to date on all shared guidelines — whether or not you choose to log in, read, or take part in any activities announced through those channels.

Current guidance regarding PROHIBITED uses of your Ambassador Link includes, but is not limited to the following: DO NOT repost Coldest’s (or another Coldest creator’s) original content for personal use.

DO NOT share your Ambassador Link on public forums or websites (e.g., Reddit, Google search results, coupon or deal sites).

DO NOT bid on Coldest brand terms using any paid advertising platform (e.g., Google Ads).

DO NOT promote your Ambassador Link on Coldest’s official TikTok page, or on another creator’s Coldest-branded posts.

DO NOT speak negatively about Coldest’s products, marketing materials, staff, policies, or business operations.

DO NOT use offensive language or bring up controversial topics when representing Coldest.

DO NOT ask Coldest moderators about the status of your personal orders, or any orders placed using your Ambassador Link (they don’t have access to that information).

DO NOT message Coldest employees or reps through their personal social media accounts.

DO NOT request drop dates, restock schedules, or launch info from Coldest team members or live hosts — they won’t have access to this information.

FAILURE TO FOLLOW THESE TERMS WILL RESULT IN THE IMMEDIATE TERMINATION OF YOUR AMBASSADOR ACCOUNT, LOSS OF ALL ASSOCIATED BENEFITS, AND FORFEITURE OF ANY UNPAID COMMISSIONS. Coldest retains the right to update its policies related to Ambassador Link use at any time, with or without prior notice.
Your continued involvement in the Program following such updates will be considered acceptance of any changes made to these Terms.
